SUMMARY
I will always do my best to meet your needs and fulfil your expectations. It is important to have things written down so that we both know what’s what, who should do what and when, and what will happen if something goes wrong. In these terms you will not find any complicated legal terms or long passages of unreadable text. I have no desire to trick you into signing something that you might later regret. What we do want is whats best for both parties, now and in the future.

In short; you, (the client) are hiring me, (the designer) to deliver design services as outlined in our previous correspondence. Of course it’s a little more complicated, but we will get to that.

WHAT DO BOTH PARTIES AGREE TO?

As my client, you agree:

– You have the power to enter into this contract on behalf of your company or organisation.
– Coordination of any decision-making with parties other than me.
– To provide me with everything I need to complete the project including text, images and other information as and when I need it, and in the format that I ask for.
– To review my work, provide feedback and sign-off within agreed timescales.
– To be bound by any dates that we set together for deadlines.
– To stick to the payment schedule described at the end of this contract.

As the designer, I agree:

– I have the experience and ability to perform the services you need from me.
– I will carry this service out in a professional and timely manner.
– I will respect the confidentiality of any information you give me.
– I will endeavour to meet all the deadlines set but I can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off my work on-time at any stage.

SCOPE OF WORK
I will design for you a branding package as detailed in your correspondence which will involve the following steps:

 – Design Brief: I will endeavour to understand from your perspective exactly what you are looking to achieve with this brand design. I will use your completed questionnaire to gather your ideas and get a scope of what you envision.

– Market & User Research: I will conduct research focused on the area of your business/organisation, on the history of your area and on direct and indirect competitors. I will also research into your typical customers/audience, their preferences and behaviours, and ultimately I will look into the logo designs that have been successful and current styles and trends that are related to the design brief.

– Logo Design: I will design the logo design concept around the brief and research. I will use my creativity and experience to design a logo and presentation for you.

– Presentation & Revisions: I will create a Brand Board, which will feature main logo ideas, inspirational images, textures, colours and fonts that will embody your branding identity. I will ask you to gather feedback to perfect your design. 

– Final Deliverables: I will prepare, export and organise digital files into a downloadable folder via Dropbox containing logo files in Colour and Black & White in JPG, PNG, PDF and SVG vector format.

CHANGES AND REVISIONS
If the scope of the work changes during the projects completion additional costs may occur. The Designer will submit any price changes for approval to the Client prior to beginning any such tasks. 

The number of revisions are stated in your chosen package. If you require any additional revisions these are charged at an hourly rate of £50.

CANCELLATION
Either party may terminate this contract at any time for any reason they deem necessary with written notice.

Upon cancellation of the contract the Client is responsible for payment for all expenses incurred and any work done towards the completion of the project based on the percentage of the project completed that is determined by the Designer.

Should the Client choose to cancel the project after the project completion, the Client will remain responsible for full payment as per the agreed upon price. In the event of cancellation the Designer retains ownership of all copyrights and original work created .

CLIENT APPROVAL
The Client will be notified and must approve any and all materials prior to the project finalisation and submission of completed files.

Furthermore the Client will have permission to accept the work and request revisions if needed.

CONFIDENTIALITY
The Designer hereby acknowledges they may be involved in or become aware of information that relates to the Client, including information related to the Client’s past, present, future products, customer names, creative works, marketing strategies, pending projects/proposals, and other proprietary information.

The Designer agrees to protect the confidentiality of all proprietary information and all physical forms thereof, whether disclosed to me before this agreement or afterward.

Unless strict confidentiality is requested by you in advance of the establishment of this contract, the Designer reserves the right to display materials and final work created for you on my website and promotional materials.

GOVERNING LAW
The formation, construction, performance and enforcement of this Agreement shall be in accordance with the laws of the United Kingdom without regard to its conflict of law provisions or the conflict of law provisions of any other jurisdiction.

PAYMENTS
The project above shall be conducted and delivered upon payment of the below listed amounts:

An upfront deposit of 50% of the total cost of the project will be due to the Designer prior to the start of any work.

The remaining balance of the project including any agreed changes and additional revisions will be due on completion of the project.

On receipt of the final payment final files will be delivered via Dropbox.

Cost includes VAT and design only. Printing of all marketing items are excluded.

THIS DOCUMENT CONTAINS VERY IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT MIGHT APPLY TO YOU. THESE TERMS REQUIRE THE USE OF ARBITRATION TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS. BY PLACING AN ORDER FOR PRODUCTS OR SERVICES FROM THIS WEBSITE, YOU ACCEPT AND ARE BOUND BY THESE TERMS AND CONDITIONS. 

YOU MAY NOT ORDER OR OBTAIN PRODUCTS OR SERVICES FROM MY WEBSITE IF YOU (A) DO NOT AGREE TO THESE TERMS, (B) ARE NOT THE OLDER OF (i) AT LEAST 18 YEARS OF AGE OR (ii) LEGAL AGE TO FORM A BINDING CONTRACT WITH SUSAN BOWER DESIGN, OR (C) ARE PROHIBITED FROM ACCESSING OR USING THIS WEBSITE OR ANY OF THIS WEBSITE’S CONTENTS, GOODS OR SERVICES BY APPLICABLE LAW.

These terms and conditions (these “Terms”) apply to the purchase and sale of products and services through www.susanbowerdesign.co.uk (the “Site). Please read both these Terms and my Privacy Policy carefully. By using my site, you accept and agree to be bound by these Terms. I may modify these Terms from time to time, and any modifications will be effective immediately when I post them. All changes I make will be reflected in the date at the top of the document. You are responsible for reviewing any modified terms. Your purchase of any product or services that are available through this Site means you accept and agree to any changes. 

ORDER ACCEPTANCE & CANCELLATION
You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept any orders in our sole discretion. After having received your order, you will instructions with next steps (if applicable).

PRICES & PAYMENT TERMS
(a) All prices posted on this Site are subject to change without notice. The price charged for the product or service you purchase will be the price in effect at the time the order is placed and will be set out in your order confirmation e-mail. Price increases will only apply to orders placed after such changes. Listed prices include VAT. You will have notice of all such taxes and charges by reviewing your order confirmation e-mail. We are not responsible for pricing, typographical, or other errors in any offer by us and we reserve the right to cancel any orders arising from such errors.

(b) Terms of payment are within our sole discretion and payment must be received by us before our acceptance of an order. You represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorised to use such credit card for the purchase, (iii) charges incurred by you will be honoured by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.

RETURNS & REFUNDS
Due to the nature of online digital products, no refunds are allowed under any circumstances.

INTELLECTUAL PROPERTY USE & OWNERSHIP

You acknowledge and agree that:

(a) Each product and service marketed on this Site is made available solely for license, not sale, to you and other prospective customers under the terms, conditions, and restrictions of the license agreement posted with/made available to you through a link accompanying the display or description of that specific product or service.

(b) You will comply with all terms and conditions of the specific license agreement for any product or service you obtain through this Site, including, but not limited to, all confidentiality obligations and restrictions on resale, use, reverse engineering, copying, making, modifying, improving, sublicensing and transfer of those licensed products and services. You will not cause, induce or permit others’ noncompliance with the terms and conditions of any of these product and service license agreements.

(c) Susan Bower Design is and will remain the sole and exclusive owner of all intellectual property rights in and to each product made available on this Site and any related specifications, instructions, documentation or other materials, including, but not limited to, all related copyrights, patents, and trademarks and other intellectual property rights, subject only to the limited license granted under the product’s or service’s license agreement. You do not and will not have or acquire any ownership of these intellectual property rights in or to the products or services made available through this Site, or of any intellectual property rights relating to those products or services.
